1. General provisions
These license terms (the "Terms") govern the use of the Pcrypt password manager solution provided by Password Crypt ApS (the "Licensor"). The company or organisation that has entered into an agreement for the solution is referred to as the "Licensee".
By accessing or using the solution, the Licensee accepts the Terms. The Terms apply together with the order, subscription agreement or other written agreement entered into between the parties. In the event of a conflict, the individually agreed terms shall prevail.
2. Scope of the license
- License: The Licensor grants the Licensee a limited, non-exclusive, non-transferable and non-sublicensable right to use Pcrypt in accordance with the Terms.
- Permitted use: The solution may only be used for the Licensee's internal business operations and by the number of authorised users specified in the applicable agreement.
- Premium: Pcrypt Premium provides access to the hosted service for the agreed subscription period.
- On-Premises: Pcrypt On-Premises provides a right to install and use the solution in the agreed customer environment. The Licensee is responsible for its operating environment, including servers, networks, backups and access controls, unless otherwise agreed in writing.
- No source code access: The license grants no right to the source code, underlying algorithms or core technical elements of the solution.
3. Intellectual property rights
All intellectual property rights in Pcrypt, including software, trademarks, designs, documentation and proprietary data, remain the property of Password Crypt ApS or its licensors.
The Licensee acquires no ownership rights to the solution or any of its components.
4. Acceptable use and account security
The Licensee must take all necessary precautions to prevent login credentials and access rights from being shared with unauthorised parties. The Licensee must not circumvent security measures, copy or reverse engineer the solution, or use it for unlawful purposes.
Unauthorised use, breach of security procedures or a material breach of the Terms may result in immediate suspension or termination of access.
5. Updates and maintenance
The Licensor may continuously update, upgrade and maintain the solution to improve its functionality, performance or security.
The hosted service may be temporarily unavailable during scheduled maintenance. The Licensor will endeavour to provide reasonable advance notice of planned downtime.
For On-Premises, relevant updates are made available in accordance with the agreed delivery and support model. The Licensee is responsible for timely installation unless otherwise agreed.
6. Limitation of liability
The solution is provided on an "as is" and "as available" basis. The Licensor does not warrant that the solution will be entirely error-free, uninterrupted or fit for a particular purpose beyond the agreed specifications.
The Licensor shall not be liable for indirect or consequential loss, including loss of data, revenue, profits or business interruption.
The Licensor's aggregate liability for claims arising out of the use of the solution is limited to the fees actually paid by the Licensee to the Licensor during the six months preceding the event giving rise to the claim. These limitations apply to the extent permitted by mandatory law.
7. Data protection and confidentiality
The Licensor processes personal data in accordance with applicable data protection legislation, including the GDPR. Where the Licensor processes personal data on behalf of the Licensee, the processing is governed by a separate data processing agreement.
The Licensee is responsible for ensuring that its use of the solution and the data it uploads or processes have a lawful basis and comply with applicable requirements.
8. Termination
The Licensor may terminate the Licensee's access with immediate effect in the event of a material breach of the Terms. Other termination and expiry rights are governed by the agreement entered into between the parties.
Upon termination, the Licensee must immediately cease all use of the solution. All intellectual property rights remain with the Licensor. The handling and any export or deletion of customer data are governed by the applicable agreement and data processing agreement.
9. Governing law and jurisdiction
The Terms are governed by Danish law. Any dispute arising out of the Terms or the use of Pcrypt shall be subject to the jurisdiction of the Danish courts.
